Terms of Service

These Terms are a draft. Their content will undergo legal review before the official launch.

Article 1 (Application)

These Terms set out the conditions under which GOM (the "Service") is provided and the rights and obligations between the operator and users regarding the use of the Service, and apply to all relationships between users and the operator relating to the use of the Service.

Article 2 (Definitions)

  • "Group Order" means a unit of joint purchase recruited by an organizer (staff) who sets limits on the total amount and weight.
  • "Participant" means a user who joins a Group Order by adding items and pays for them.
  • "Staff Purchase Method" means a procurement method in which the organizer purchases the items, arranges international shipping, and delivers the items domestically to participants.
  • "Full-Service Purchase Method" means a procurement method in which the operator purchases the items and arranges international shipping to the organizer, and the organizer delivers the items domestically to participants after receiving the international shipment.

Article 3 (Registration)

A person wishing to use the Service shall register in the manner prescribed by the operator after agreeing to these Terms. The operator may refuse registration if it determines that the applicant has submitted false information, has previously violated these Terms, or is otherwise unsuitable for registration.

Article 4 (Handling of Participation Fees and Payments to Organizers)

Participants shall review the breakdown shown on the participation screen, including item prices, international shipping, customs duties, domestic delivery fees, and service fees, and pay the full participation fee via Stripe when confirming participation. Group Orders to which the Full-Service Purchase Method applies are indicated as such on the participation screen; the Staff Purchase Method applies to Group Orders without such an indication. Where the advance payout method applies, an explanation to that effect is shown on the participation screen.

Under the Staff Purchase Method, the organizer purchases the items with their own funds and arranges international shipping and domestic delivery. Participation fees are handled on Stripe's payment infrastructure, and the operator pays the organizer the participation fees less the platform fee. Under the standard method, the payout process begins after the items have been shipped and the participant has confirmed receipt (including where receipt is deemed confirmed automatically upon expiry of the confirmation period). Under the advance payout method, the operator may begin the payout process before receipt is confirmed in order to reduce the organizer's burden of advancing funds. In that case, refunds for non-delivery, damage, and similar issues are handled by the operator in accordance with Articles 5 and 6.

Under the Full-Service Purchase Method, the operator applies the portion of the participation fees corresponding to item prices, international shipping, customs duties, and the purchase proxy fee to purchasing the items and shipping them internationally. Payments to the organizer are limited to a fixed domestic delivery subsidy and any tips voluntarily paid by participants (the fixed fee is currently ¥0), and the payout process begins after the participant confirms receipt.

Payouts to organizers that begin after receipt is confirmed are normally made within 3 business days, and no later than 7 days. Under either method, the operator will not withhold or unduly delay payouts to organizers without good reason.

Article 5 (Cancellations and Refunds)

Before shipment, a participant may request cancellation from the organizer. Under the Staff Purchase Method, the organizer generally issues the refund from the management screen, and if approved, the full participation fee is refunded. However, once the payout process to the organizer has begun under the advance payout method, refunds cannot be issued from the organizer's management screen, and the operator handles them upon the participant's request or claim.

Under the Full-Service Purchase Method, the organizer cannot decide on or execute cancellations and refunds after the operator has begun procurement; the operator handles them. If even part of the items a participant applied for in a single participation cannot be purchased because they are sold out, their price has changed significantly, or for any other reason, the operator will not make a partial purchase of the items in that participation and will refund the full participation fee.

Due to the nature of the items, returns and refunds after shipment are generally not accepted. Where there are unavoidable circumstances such as non-delivery or damage, the participant may request dispute resolution using the "Report a problem" feature of the Service.

Article 6 (Handling of Problems and Allocation of Responsibility)

Under the Staff Purchase Method, the organizer provides the first response to problems arising from the purchase, international transport, or domestic delivery of items, and currently the organizer also decides, upon a claim, whether to issue a refund or return to the normal flow (resuming the process toward receipt confirmation and payout) (an escalation path to a neutral operator is currently being developed). However, after the payout process to the organizer has begun under the advance payout method, the operator decides on, executes, and bears the cost of refunds.

Under the Full-Service Purchase Method, the operator provides the first response to problems arising from procurement of the items and international transport to the organizer, and the organizer provides the first response to problems arising from the organizer's domestic delivery to participants. Participants may file a claim using the "Report a problem" feature of the Service, including where the cause of the problem is unclear. Claims are recorded and are subject to protective measures such as suspending payouts to the organizer, and the organizer or the operator reviews and responds to them.

Article 7 (Import, Customs Clearance, and Recipient of International Shipments)

Items handled through the Service are imported into the United States under DDP (delivery terms premised on prepayment of customs duties and similar charges) as jointly purchased goods for personal use by a group of participants. However, this Article does not determine the importer or any other responsible party under applicable laws. An organizer under the Full-Service Purchase Method, when creating a Group Order, provides their own address to the operator as the recipient of the international shipment and agrees to the use of that address for international shipping of the items.

Article 8 (Prohibited Conduct)

  • Conduct that violates laws or regulations or public order and morals
  • Conduct related to criminal acts
  • Recruiting for a Group Order using non-existent items or false information
  • Impersonating other users
  • Conduct that may interfere with the operation of the Service
  • Any other conduct the operator deems inappropriate

Article 9 (Suspension of the Service)

The operator may suspend or interrupt all or part of the Service without prior notice to users in the event of system maintenance, natural disasters, outages of external services including payment providers, or other unavoidable operational or technical reasons.

Article 10 (Disclaimer)

The operator makes no express or implied warranty that the Service is free of defects in fact or in law. Except for the scope of handling by the operator expressly stated in these Terms, cases of the operator's willful misconduct or gross negligence, or cases where exemption is not permitted under applicable law, the operator is not liable for any damage incurred by users arising from the Service.

Article 11 (Changes to these Terms)

The operator may change these Terms when the change conforms to the general interests of users, or when the change does not conflict with the purpose of the contract and is reasonable in light of the necessity of the change, the appropriateness of its content, and other circumstances. When making a change, the operator will announce the content of the change and its effective date on the Service or by other appropriate means before the effective date.

Article 12 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute arising in connection with the Service shall be subject to the exclusive agreed jurisdiction of the court having jurisdiction over the operator's location.
